That is quite rare indeed. I do know of one case where that happened, when other publishers take over an ongoing work as in the case of Taiwan's Daran (one of Taiwan's biggest comic publishers) losing multiple licensing rights.
I was once fooled into buying an old series with a new cover (like a new edition). The artwork was miles apart as the cover was drawn years later and obviously looks more polished. Normally, I wouldn't mind if the story made up for the bad art, but in this case, both were NG. The only good thing was the cover. I felt so cheated. :-/

I think is fine, but only if it was done by the original mangaka
I believed when Sailor Moon was made into a live action drama (PGSM)
Takeuchi-sensei made a whole new set of covers for sailor moon and the series was re-released from a 18 volume series to a 12 volume series with a bunch of extra stuff

A true fan will never deny new material, especially from the original mangaka.

don't feel cheated... I've payed more for limited ed. pencil boards or signed sketches than for some anime box sets. New cover-art with original story included feels like a steal to me by now. ^^;
